01. Scope of Consulting Services
Ledger Temple provides business, corporate compliance, secretarial, and tax consulting services across India. Services encompass Private Limited incorporation, LLP formation, Trademark IP filings with the Controller General of Patents, Designs & Trade Marks, GST registrations, MCA annual returns, and tax advisory.
We act as business facilitators and advisors collaborating with certified Chartered Accountants (CAs), Company Secretaries (CS), and legal practitioners. Ledger Temple does not act as a court-litigating law firm.
02. Client Obligations & Document Accuracy
For successful filing before statutory authorities (MCA, GSTN, CBDT, IP India), clients must furnish accurate, unexpired, and authentic documentation including PAN, Aadhaar, Proof of Registered Address, and Board Resolutions where applicable.
- Document Authenticity: You warrant that all identity proof, utility bills, and financial records supplied are true, unaltered, and lawfully procured.
- Timely Submissions: Government statutory portals impose strict filing windows and late fee penalties. Delayed submission of documents from your end relieves Ledger Temple from delay liabilities.
- Digital Signatures: Where Class-3 DSC or OTP verification is required, you must execute authorization without unapproved third-party delegation.
03. Government Fees & Statutory Approvals
Our quotations clearly distinguish between Professional Consulting Fees and Statutory Government Fees (e.g., MCA RUN fees, SPICe+ stamp duties, trademark official registry charges).
04. Professional Confidentiality
Ledger Temple maintains strict non-disclosure safeguards over your corporate records, cap tables, financial statements, and business strategies. We enforce zero-trust access permissions and do not monetize, sell, or disclose your confidential data to external marketing syndicates.
05. Limitation of Liability
To the maximum extent permitted by applicable Indian law, Ledger Temple's total aggregate liability arising out of or related to any engagement shall not exceed the professional fees actually received by us for the specific service in dispute. We are not liable for consequential loss of business, prospective profits, or statutory penalties incurred due to client misrepresentation.
